1. Definitions
Seller means Wilatt.
Buyer means the person or entity purchasing goods or services from the Seller.
2. Orders & Acceptance
All orders are subject to acceptance by the Seller.
The Seller reserves the right to refuse any order at its discretion.
3. Quotes
All quotes are valid for 30 days unless otherwise stated.
Quotes are based on information provided at the time and may be revised if the scope of work changes.
4. Payment Terms
4.1 Account Customers
For approved account customers, payment is due on the 20th of the month following invoice date, unless otherwise agreed in writing.
4.2 Deposits
For signage and small custom items, full payment is required before production begins.
For larger custom fabrication projects, the Seller may require a deposit of up to 50% before work commences, with the balance payable prior to delivery or as otherwise agreed in writing.
All deposits and advance payments are non-refundable once production has begun.
5. Cancellations
Orders may not be cancelled once production has commenced.
If the Buyer cancels an order after work has begun, the Seller may charge for:
all work completed,
materials purchased, and
any costs incurred up to the date of cancellation.
6. Reservation of Title
Ownership of goods remains with the Seller until full payment has been received, even if the Buyer has taken possession of the goods.
7. Delivery & Risk
The Seller will make every reasonable effort to meet delivery timeframes but is not liable for delays caused by circumstances beyond its control. Risk of loss or damage passes to the Buyer upon delivery.
8. Custom Goods & Returns
Due to the custom nature of many products, made-to-order goods cannot be returned for change of mind. The Buyer is responsible for checking specifications before production begins.
9. Installation & Use
The Seller is not responsible for defects, damage, or failure caused by:
incorrect installation,
modification, or
misuse of the goods by the Buyer or any third party after delivery.
10. Warranties & Consumer Guarantees
Where goods or services are supplied for personal, domestic or household use, the Consumer Guarantees Act 1993 applies.
Where the Buyer acquires goods or services for the purposes of a business, the parties agree that the provisions of the Consumer Guarantees Act 1993 do not apply, to the maximum extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, the Seller’s liability for any claim arising from the supply of goods or services is limited, at the Seller’s option, to:
repair or replacement of the goods, or
the cost of having the goods repaired or replaced.
The Seller is not liable for any indirect or consequential loss, including loss of profit, business, or opportunity.
12. Governing Law
These Terms of Trade are governed by the laws of New Zealand.
13. Changes to Terms
The Seller may amend these Terms of Trade at any time.
Updated terms will apply to all future orders from the date of publication.
